TIGGES has advised the international IT services company Spyrosoft S.A. on the acquisition of 100% of the shares in MD Consulting und Informationsdienste GmbH. The transaction forms part of Spyrosoft’s international growth strategy and its continued expansion in the German market.
Spyrosoft is an international provider of software engineering and IT services headquartered in Poland, with offices across Europe and the United States. With this acquisition, the company further strengthens its presence in the DACH region (Germany, Austria and Switzerland), which already accounts for approximately one quarter of the group’s revenue. The agreed enterprise value amounts to €1.6 million, complemented by a performance-based earn-out component of up to €2.7 million depending on the company’s performance in 2026.
MD Consulting und Informationsdienste GmbH, founded in 1991, is an established provider of IT consulting and software services.
The acquisition is part of Spyrosoft’s strategy to expand its footprint in Germany, diversify its operations and strengthen access to public procurement projects. Through the integration of MD Consulting, Spyrosoft further enhances its capabilities in the German market.
The interdisciplinary TIGGES team advised on the transaction with a focus on the drafting and negotiation of the SPA as well as supporting the parties throughout the contract negotiations.
